1. Legal Review from Checkout through Refund
The service examines how a retailer accepts orders, handles delays, and returns payments. For Black Friday promotions, the starting point is a sample purchase followed through the systems staff actually use.
Compare Purchase Screens with Actual Order Handling
An ecommerce attorney can examine product listings, checkout, order confirmations, and support scripts against warehouse and payment workflows. The findings identify conflicting promises, missing disclosures, and steps staff cannot perform as described. Related advertising compliance work addresses the offer’s wording. This review also examines what happens when a customer places an order.
Identify the Rules That Apply to the Transaction
Federal rules govern covered shipment and refund obligations, while state law adds disclosure and consumer protection requirements. New York General Business Law §396-m covers qualifying mail-order and telephone-order businesses located in the state or advertising a New York mailing address or telephone number. Selling to a New York customer alone does not establish coverage under that section. Review the seller, merchandise, sales channel, and transaction connections before selecting applicable rules.
2. Shipping Commitments and Delay Procedures

Shipping language should reflect a schedule the business can reasonably support. When that schedule fails, the response must address the affected order and the customer’s choices.
Separate Shipment Dates from Arrival Promises
The FTC’s Mail, Internet, or Telephone Order Merchandise Rule generally requires a reasonable basis for the stated shipment time. Without a stated time, the usual benchmark is shipment within 30 days after receiving a properly completed order, subject to applicable exceptions. Shipment means handing merchandise to the carrier, rather than creating a label. A promised arrival date also requires review of transit assumptions and the message customers receive.
Review Delay Notices, Consent, and Cancellation
If the seller cannot ship on time, it must offer the buyer a clear choice between consenting to delay and cancelling for a prompt refund. The seller must provide the notice promptly after learning of the delay and no later than the applicable shipment deadline. Its required content and consent mechanism depend on the proposed delay and previous notices. A generic apology is insufficient if it omits required options. Staff should not treat silence as consent without checking the rule’s conditions.
3. Return Policies and Refund Execution
Policy disclosure and payment processing need separate checks. A readable return policy does not establish that staff issue the correct refund when required.
Make Return Restrictions Available before Billing Details
General Business Law §218-a requires online retailers to conspicuously display their refund policy or provide access by hyperlink in the specified locations, including near the item or before requesting billing information. The policy must address applicable sale-item restrictions, purchase verification, time limits, refund methods, and fees, and advise that a written copy is available on request. Disclosure violations can create refund liability for qualifying unused, undamaged merchandise within the statutory period. This is not an unconditional 30-day return right.
Distinguish Returns from Unshipped-Order Refunds
A voluntary return policy addresses merchandise the buyer received. Cancellation and refund duties for an unshipped order arise under different rules. A final-sale label or store-credit policy does not override a refund obligation under the FTC rule. The required refund mechanism and deadline depend on the payment arrangement. A support ticket marked “approved” does not show that the required payment instruction or credit was issued.
Use a sample order to compare the promise, operational step, and supporting record.
| Customer Promise | Operational Check | Record to Preserve |
|---|---|---|
| Ships within the stated period | Carrier handoff matches the commitment | Order timestamp and carrier acceptance |
| Cancellation offered after delay | Customer response reaches the order team | Notice, response, and cancellation log |
| Refund issued after cancellation | Payment system processes the required amount | Refund transaction and status |

4. Operational Gaps That Require Legal Review
Software defaults and outsourced fulfillment can leave gaps between policy and performance. Review who can identify a failed step and authorize its correction.
Check Vendor Duties and Staff Authority
Warehouse alerts may reach logistics staff without triggering customer notices. A payment dashboard may require approval from someone unavailable during the promotion. Review commercial contracts for reporting duties, response times, access rights, and responsibility for corrections. Contractual allocations between vendors and retailers do not by themselves remove obligations owed to customers.
Preserve Failed Transactions before Changing Settings
Keep the original screen, policy version, notice, and transaction record before correcting a problem. Retain the revised version and retest the affected path. If a supplier failure affects pending orders, related supply chain disruption review can assess vendor notices and contractual remedies separately from customer obligations. Where §396-m applies, covered prepaid nonshipment complaints and their dispositions must be retained for at least 18 months after disposition. Other retention duties and any dispute-related preservation requirements need separate assessment.
5. Prepare for an Ecommerce Legal Review
Provide materials that show both what customers see and what the business can execute. Useful preparation includes:
- Product, checkout, and policy screenshots from mobile and desktop.
- Order confirmations, delay notices, and customer response options.
- Sample shipment, cancellation, and refund records.
- Fulfillment and payment-provider agreements, with staff approval procedures.
A legal review can produce revised disclosures, notice templates, and recommended changes to cancellation and refund procedures. If a platform cannot support a required step, request review before launching the affected offer. Bring unresolved notices or customer demands so the review can address pending orders alongside future operations.
